These Terms & Conditions (“Terms”) govern your access to and use of the Mediclus USA website (the “Site”) and any purchase you make through it. The Site is operated as the U.S. distribution storefront of Mediclus Co., Ltd. (“Mediclus,” “we,” “us,” or “our”), a dental materials manufacturer headquartered in Cheongju, South Korea.

1. Acceptance of Terms

By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. Eligibility & Accounts

The products sold on this Site are professional dental materials intended for use by licensed dental professionals, clinics, laboratories, and authorized businesses. By creating an account or placing an order, you represent that you are at least 18 years old and, where applicable, that you or your organization are appropriately licensed or authorized to purchase and use dental materials in your jurisdiction.

You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

3. Products, Pricing & Availability

We attempt to display product information, images, and pricing accurately, but we do not warrant that product descriptions, pricing, or other content is error-free. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information, including after an order has been submitted, without prior notice.

Product availability is not guaranteed. If an item you ordered becomes unavailable after your order is placed, we will contact you and issue a full refund for that item unless you request a substitute.

4. Orders & Payment

When you place an order, you are making an offer to purchase the selected products. Orders are not final until payment is successfully processed and we send you an order confirmation email. We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or inability to verify your professional eligibility.

Payments are processed securely by Stripe, Inc. By providing payment information, you represent that you are authorized to use the payment method. Order totals include the product subtotal, any applicable shipping fee, and applicable sales tax calculated at checkout based on your shipping address.

Coupon and discount codes are subject to the specific terms disclosed at the time of the offer and may be modified, restricted, or discontinued at any time.

5. Shipping & Delivery

Products are shipped to the address you provide at checkout. Shipping and delivery times are estimates only and are not guaranteed. Mediclus is not responsible for delays caused by carriers, customs, weather, or other events outside of our reasonable control. Risk of loss and title for products pass to you upon our delivery to the shipping carrier.

6. Returns, Refunds & Cancellations

If you receive a damaged, defective, or incorrect item, contact us within 14 days of delivery to request a return authorization, replacement, or refund. To protect product integrity and patient safety, we generally cannot accept returns of items that have been opened, used, or that are not in their original sealed packaging, except where the item is defective or was shipped in error. Please contact us before returning any product.

Approved refunds are issued to the original payment method. Shipping fees are non-refundable except where the return is due to our error.

7. Intended Use & Product Disclaimer

Products sold on this Site are professional dental materials intended to be used by qualified, licensed dental professionals in accordance with the applicable Instructions for Use (IFU), product labeling, and professional standards of care. Nothing on this Site constitutes medical or dental advice. You are solely responsible for determining whether a product is appropriate for a particular clinical use and for using it in compliance with all applicable laws and regulations, including FDA clearance conditions where applicable.

8. Intellectual Property

All content on the Site — including text, graphics, logos, product images, and catalogues — is owned by or licensed to Mediclus Co., Ltd. and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent, except as necessary to view and use the Site for your own purchasing purposes.

9. Prohibited Uses

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems;
• Interfere with or disrupt the operation of the Site or servers;
• Use automated means (bots, scrapers) to access the Site without our permission; or
• Resell products purchased through the Site in a manner that violates applicable law or Mediclus's distribution agreements.

10. Disclaimers & Limitation of Liability

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY STATED IN APPLICABLE PRODUCT DOCUMENTATION OR AS REQUIRED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, MEDICLUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify and hold Mediclus, its parent company, and their officers, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your improper use of any product purchased through the Site.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of [Delaware], without regard to its conflict-of-law principles, without prejudice to any mandatory consumer-protection rights you may have under the laws of your state of residence. Any dispute arising from these Terms or your use of the Site will be resolved in the state or federal courts located in [Delaware], and you consent to the personal jurisdiction of those courts.
